The Conlon Family to relocate it's Auto Repair Business

The Buyers known as the Conlon Family will operate an auto repair business on the property.

Historic Merchants Building Sold in a Tax-Deferred Exchange

NEW HAVEN?June 14, 2007. The Geenty Group, Realtors announces the sale of Mercantile Manor, the 7,800 SF, 200-year-old stone structure at 35 Elm Street, New Haven. The seller, the Richard B. Buckley Family L.P., sold the building in a capital-gains-tax-deferred transaction, in accordance to IRS Code Section 1031, to Mercantile Manor, LLC for $1,015,000.00. Part of New Haven?s original nine squares laid out by surveyor John Brockett, the site?s first resident was the-then colonial Governor, Theophilus Eaton. One of south-central Connecticut's largest and most significant parcels of commercial real estate is soon to go on the selling block. When Bayer HealthCare vacates its 137-acre property on the West Haven/Orange line over the next 12 to 18 months, it will add to the region's commercial inventory some 1.5 million square feet of space in 17 steel frame and stone buildings. Bayer, headquartered in Leverkusen, Germany, announced early last month that it was closing up shop in Connecticut as part of an international restructuring. According to Bayer spokesperson Staci Gouveia, her company's total investment in the property is $1.2 billion. She says it's too early, however, to say how much the property might fetch on the open market. "It is too early in the process for anyone to have a formal interest, but Bayer has been having ongoing dialogue with state and local officials, including the [state's] Department of Economic & Community Development [DECD]," Gouveia adds. The state had offered Bayer a $60 million assistance package that not only would have retained existing jobs but also would have created 800 new jobs in West Haven. That offer was not accepted. When the news came that Bayer was in fact leaving the state, Gov. M. Jodi Rell assembled a team of state and local economic-development experts to determine the best reuse for the Bayer site. The task force Rell charged with finding a new owner/user for the property comprises: DECD Commissioner James Abromaitis; Paul Pescatello, president and CEO of Connecticut United for Research Excellence (CURE); Frank Dinucci, president and executive director of Connecticut Innovations Inc. (CII); Kevin Rakin, executive-in-residence at Canaan Partners and co-chair of CURE; Bruce Alexander, Yale University's vice president for New Haven and state affairs and campus development; Peter Deckers, dean of the University of Connecticut School of Medicine; Greater New Haven Chamber of Commerce President Anthony Rescigno; West Haven Mayor John Picard; and West Haven State Rep. Steve Dargan (D-115). Bayer will also work with its own commercial real estate consultants to advise on potential opportunities for the site following its move. "We want to return it to productive business use in the community," Gouveia says. "This will be an ongoing process over the next several months. At this point in the process it is too early to ascertain interest." James Burns, chief of staff to West Haven Mayor John Picard, says a bioscience company would be an ideal user for the site. "The current campus is designed for research, manufacturing and distribution, so that would be a natural fit," says Burns. "We've got a window of anywhere from 12 to 18 months as Bayer does their decommissioning of the site." Adds Burns, "They will be paying taxes during that time, though right now we're beginning to see less in personal property taxes since they are eliminating machinery." Bayer is the largest taxpayer in the town of Orange and city of West Haven, paying $4.3 million in taxes in 2005. Until the property sells, Bayer will have a responsibility for the real estate taxes on the building and land. Until 2003, Bayer was the biggest employer in West Haven. (Today the Veterans Administration Hospital holds that distinction with more than 1,700 employees.) One prospective buyer is the United Illuminating Co., whose officials acknowledged they have considered the property for occupancy when UI consolidates and relocates its current 157 Church Street, New Haven headquarters after its lease there expires in 2012. UI is also considering other options in West Haven and Milford. UI would use only about one quarter of the 137-acre site. The utility provider paid just over $4 million in taxes to the city of New Haven in 2005. The commission had its first walk-through inspection of the site in late November. This gave the task force a feel for the buildings, as well as the magnitude of the property. And it is full of magnitude. "It's an excellent piece of property, right off I-95," Burns says. "The buildings are relatively new, well built and well maintained. It's what I would call a picture-perfect campus for a corporation, whether biotech, pharmaceutical or something else." Commercial Realtor Kristen Geenty, president of the Branford-based Geenty Group, says that collaboration between economic-development officials from the city of West Haven and the state and the broker who will work on selling the property is vital. "Absorbing that type of vacancy is going to be huge," she says. "I know that [New Haven chamber of commerce head] Tony Rescigno is very positive on absorbing it, in smaller bits and pieces. But I think it would be one in a million if somebody were to come in and be able to use all of the building and lab space." Rescigno does have a positive but realistic outlook. "The best thing would be another bioscience company," he allows. "It would be the best fit - a natural to be able to walk in and use what's there. The worst use would be a shopping center. From an economic-development point of view, we hope that an organization or corporation will come in and create some high-paying jobs for folks." An educational institution wouldn't be the least desirable, according to Rescigno, though it might not be the best thing for West Haven since it would be tax-exempt. (Depending on the user, reimbursement through the state's PILOT program would cushion the financial blow at least in part.) "It won't be easy to get another biotech company in there, but I don't think it's unrealistic to think it's possible," Rescigno says. "There are international companies looking for a U.S. presence, and that location is terrific. It's not out of the realm of possibility." The key, according to Geenty, will be marketing efforts at the state level. "The broker and the ownership are going to work very hard to contact biotech companies around the country," she says. "This many be tough because Connecticut is not super-welcoming to businesses. We are No. 50 [nationwide] in jobs creation, so it could be a very difficult process. "In my opinion, we need to see the rest of our biotech community strong and happy in the state so that we can market it to other biotech companies," Geenty adds. The Bayer property can be divided - which likely is the only way it can be fully reoccupied. "It's going to be challenging, and the marketing of the state is going to be as valuable as the marketing of the property," Geenty says. "The Bayer property is on I-95, which is great, except that I-95 doesn't always move quickly [which potentially restricts access to the site]. Someone coming in, buying the entire property and leasing it out could face years of vacancy until reaching full occupancy." Eileen Buckheit, West Haven's commissioner of planning and development, says her city is open to any number of options. However, she notes, "We would like to have a plan in place before [Bayer's] departure. "A biotech company would obviously be the best fit since it is research-and-development labs," Buckheit adds. "When you walk through, it's labs with high-tech equipment, so the easiest way to fill the space would be to utilize the property the way it is being utilized today." The property also includes a child-care center that can accommodate 250 children, several cafeterias and offices - virtually every amenity that one would expect from a major corporate headquarters. Buckheit is on the governor's task force and says that since inquiries come into the state through multiple channels - DECD, the Connecticut Economic Resource Center (CERC), Connecticut Innovations, CURE - the governor's task force was constructed to channel those inquiries, review them and see what the best options for the site are. "Everything that we heard at the first meeting says that Bayer is very interested in working together with the task force," Buckheit says. "The representatives from Bayer also spent a lot of time speaking of their concern for their employees. I think it was very genuine and that decision was made in Germany and there are still many signs of disappointed and sad employees." CURE President Paul Pescatello is also the task force. "We do need to learn a bit more about the property before deciding what the alternatives are," he notes. "It's a great property, and to Bayer's credit, they've really kept it in tip-top shape. Every building there is ready to go - from office space to lab and warehouse. "From the [bioscience] industry's perspective, I would say the best thing would be another pharmaceutical-related company," Pescatello adds. "Whether there's a market for that is what we have to gauge. We're there to assist Bayer in any way possible in identifying the best use and user for the property. We can bring to Bayer any of our contacts." The head of the New Haven-based Regional Growth Partnership, Robert Santy, concurs. "It won't be any one occupant, it will probably be a good mix," Santy predicts. "I hope that it will be some bioscience and some office. It's a prime property, so long-term I know it will be fine." Since it's not likely that one occupant will come in and gobble the entire parcel up, dividing the property will work," adds Santy. "Anything that keeps it on the tax rolls will work."
